КОНТРАКТ № 000 Дата: 06/07/2015 Компания Point Grey Research Inc., именуемая в дальнейшем ПРОДАВЕЦ, с одной СТОРОНЫ, и Открытое акционерное общество “Научно-производственное предприятие “Буревестник”, именуемое в дальнейшем ПОКУПАТЕЛЬ, с другой СТОРОНЫ, заключили настоящий контракт о нижеследующем: 1.ПРЕДМЕТ КОНТРАКТА Продавец продает, а Покупатель покупает электронно-механические компоненты к оборудованию в соответствии со спецификацией (Приложение1) и ценой, приложенными к настоящему контракту, которое является его неотъемлемой частью. 2.УСЛОВИЯ ПОСТАВКИ 2.1.Условия поставки: EXW Ричмонд, Канада (Инкотермс 2010) Срок отгрузки: 4 недели с момента предоплаты Срок поставки: не позднее трех дней с момента отгрузки. Перевозчик, согласованный сторонами – UPS. Счет UPS покупателя – E4V190 2.2. Если установленный Контрактом срок поставки не выполнен, то Продавец должен выплатить Покупателю штраф за задержку поставки в размере 0,5% стоимости задержанных товаров за каждую неделю задержки, однако общая сумма штрафа не должна превышать 7,5% суммы задержанных товаров ГРУЗОПОЛУЧАТЕЛЬ: НПП «Буревестник», ОАО, Россия, 195112, Санкт-Петербург, Малоохтинский пр., 68. 3.ОБЩАЯ СУММА КОНТРАКТА Общая сумма настоящего Контракта составляет 2 730,00 (Две тысячи семьсот тридцать) американских долларов. Стоимость упаковки входит в цену товара. 3.УСЛОВИЯ ПЛАТЕЖА Все платежи по настоящему Контракту производятся в американских долларах. Условия оплаты – 100% предоплата. Point Grey Research Inc., IBAN: DE96700410213213200 Account Commezbank-80807 Munich Germany 4.ГАРАНТИИ Гарантия Продавца на проданный товар действует в течение 12 месяцев, считая с даты отгрузки товара. 5.  АРБИТРАЖ В случае не достижения согласия все споры, возникающие в ходе исполнения настоящего Договора или в связи с ним, подлежат раз- Решению в арбитражном производстве согласно Регламенту Арбитражного Инсти- тута Торговой Палаты г. Стокгольма тремя (3) арбитрами, назначенными в соответствии с вышеупомянутым Регламентом. Местом арбитражного производства является г. Стокгольм, Швеция, языком арбитражного производства - английский. 6.  ПРОЧИЕ УСЛОВИЯ Продавец обязан направить вместе с товаром следующие документы: - инвойс – 1 экз. - упаковочный лист – 1 экз. - технический паспорт – 1 экз. - руководство по эксплуатации -1экз. Изменения и дополнения к настоящему Контракту имеют силу лишь в том случае, если они изложены в письменной форме и подписаны уполномоченными на то лицами. Каждая сторона несет расходы в связи с исполнением настоящего Контракта самостоятельно. Контракт вступает в силу с момента его подписания и действует до выполнения всех контрактных обязательств. Литер А счет получа банк-корреспондент: BANK OF NEW YORK, Нью-Йорк, США	CONTRACT No. 13652 Date : 06/07/2015 Point Grey Research Inc., hereinafter referred to as “the Seller”, on the one side and, Bourevestnik Inc., hereinafter referred to as “the Buyer”, on the other side, have concluded the present CONTRACT on the following: 1.  SUBJECT OF THE CONTRACT The Seller has sold and the Buyer has bought electronic and mechanical spare parts and components, according to Specification (Annex No.1) and price in to presents CONTRACT, which is its integral part. 2.TERMS OF DELIVERY 2.1.EXW Richmond BC Canada according to Incoterms 2010 The time of Shipment: 4 weeks after receive prepayment The time of delivery: no later than three days from the date of shipment. The Carrier approved by the Parties is UPS. Customer’s UPS account – E4V190 2.2. If the agreed delivery term of the Contract is not observed, the Seller shall pay to the Buyer agreed penalty for the delivery delay at the rate 0.5 per cent of the cost of the goods delayed per each week, but the total amount of agreed penalty is not to exceed 7,5 percent of the value of delivered goods. TOTAL AMOUNT OF THE CONTRACT The total amount of the present Contract is 2 730,00 USD (two thousands seven hundreds thirty dollars 00 cents) The cost of package is included in the price of the Goods. 3.CONDITIONS OF THE PAYMENT All payments under the present Contract are made in USD. The terms of payment are 100% prepaid. Point Grey Research Inc., IBAN: DE96700410213213200 Account Commezbank-80807 Munich Germany 4.GUARANTEE The Seller guarantees the quality of the sold goods within 12 months from the date of dispatch. 5.ARBITRATION Disputes arising during the fulfillment of this Contract shall be settled by Parties through negotiations. The Parties agreed an obligatory pre-judicial order of settlement of the disputes which have arisen from the present Contract.  In case an agreement is not reached, all disputes airing during the fulfillment of this Contract or in relation to it, shall be settled by arbitration in accordance with the Arbitration Rules of the Arbitration Institute of the Stockholm Chamber of Commerce by three arbitrators, appointed pursuant to the mentioned Arbitration Rules. The place of arbitration shall be Stockholm, Sweden, the language to be used in the arbitral proceedings shall be English. 6.OTHER PROVISIONS The Seller must send to the Buyer with the goods the following documents: - Invoice for granting in customs – 1pcs. - Packing list - 1pcs. - Technical passport - 1pcs. - Instruction manual -1pcs. Any alterations and addenda to the present Contract shall be valid only if they are made in writing and signed by authorized representatives of both Parties. Either Party bears expenses in connection with the execution of the present Contract on its own. Contract comes into force from the date of signing by both Parties and is valid until all Contract obligations are fulfilled.
