2. A partnership has different problems and different advantages. Once the partners have decided to merge, they must make some serious decisions. Since everything will belong to both of them, it is good to make all the rules clear at the very outset of the project. They should, for example, know which partner contributes which assets and how the project will be divided should it have to be terminated. Once they have done this, they may well enjoy the many advantages of a good partnership.
3. A corporation is a much more complex creature. It must be chartered and incorporated. This means that it becomes a legal entity. The corporation is divided into shares which are publicly sold. Everyone who owns stock or shares in the company, in a sense, then becomes the partial owner of the company. The stock owners usually vote for a board of directors, and it is the job of this board to hire a chief executive. If the company makes a profit, each shareholder receives a part of it, but if the company goes bankrupt, the private funds of stockholders cannot be touched.
The government usually has a great deal to say in the running of a corporation.

Why Franchise?
Why is franchising becoming such a popular way of doing business?
1. Probably, the most compelling answer to this question is the fact that running a franchise is often the easiest way for those who are not wealthy to go into their own business. Many of the most popular fast food restaurants such as McDonalds, Kentucky Fried Chicken, and Wendy's are franchises. Franchising is a system through which a small business can become part of an enormous business chain. A franchise obtains the trade - mark, the product name, and the procedures of operation from its franchiser or mother company. The parent company also provides a great deal of counseling and instruction to new franchisees. It also offers continuous supervision and support.
2. McDonalds, the famous large American Hamburger chain, is considered the most successful franchising operation in the world. McDonalds checks all of its franchisees for product quality, employee efficiency, and service. Inspectors are sent out to check that everything is up to standard. At its «Hamburger University» McDonald offers opportunities for employee training and advancement and through its charitable functions like the Ronald McDonald houses, where parents of sick children stay at a minimal cost while their children need hospital care - McDonalds makes a contribution to society, creating good will for all its franchisees.
3. While the franchisee usually has to put up the seed money for his concern, the franchiser frequently offers some financial assistance should the franchisee appear to be a good risk.
4. In spite of such advantages, many small businesses prefer to stay independent rather than become part of a franchise which can be very controlling and not give room for individual initiative.

Accountants Know How to Count
1. Keeping things straight in business might once have been as simple as adding one to one, but as finances grew complicated, the people who were in charge of the large visions of buying, selling, producing, and marketing for a flourishing company simply got bored and confused with keeping track of the mundane numbers game. That is how the profession of «accountant» rose to prominence. The accountant basically handles the language of business in a company. Не/she is the one who communicates the financial standing of the company to the outside world. Не/she collects, organizes, classifies, summarizes, and interprets those often confusing numbers of the amounts paid and the money made.
2. All the financial information about a company can basically be condensed into two financial statements: the balance sheet and the income statement. The balance sheet, as its name amply clarifies, is simply the balance between a company's income, permanent assets and expenditures showing the financial position of a business at a certain date, usually the end of a financial year. The income statement or profit and loss statement shows how well the company has performed within an accounting period. Both of these documents are of obvious interest to people who might wish to invest in the concern.
3. The accounting profession will always attract fastidious people who enjoy numerical organization, and it seems that there will be quite a few opportunities for them. Having this in mind, many young people may just choose accounting as a career. Given that jobs today are hard to find and that the opportunities in accounting are many and varied, the field will, probably, attract many bright young graduates. Provided that they are willing to work, they will, no doubt, find satisfaction in their profession.

More About Management
1. Some people learn everything without the help of a teacher; others learn nothing even when carefully taught. Most of us, however, fall in the category where we can learn if we are taught. The better we are taught, the better we learn. A skill can definitely be taught. A skill is something that can be observed, analyzed, explained, practiced, criticized, and practiced again. Management is the kind of skill that can be taught, learned, and must be practiced. Management is not an academic subject to be absorbed passively. Even when managers have received degrees in their field, most of their learning gets done on the job. In this way learning to manage is a bit like learning to ride a bicycle. Management is a kind of housekeeping. But it is also homemaking in that it involves dealing with people. Management means getting things done and no one, not even the single entrepreneur can do it alone. The successful manager knows how to get the right people to do the right jobs. Не/she knows how to delegate authority; how to make people feel good about the responsibility they are taking and the creativity they engage in. All of us need a sense of self-fulfillment and the successful manager will know how to give such a sense to the people who work with him/her.
2. All management involves three elements: planning, execution, and control. Every enterprise must be carefully planned before the first step is taken. That, of course, does not mean that plans cannot be changed midstream. The successful manager should be flexible enough to let his/her original design go and switch gears when he/she feels it necessary to do so. Execution means that plans are realistic enough to be carried out and to see them to their fruition. Control is the sense of keeping one's hands on the reins of things - seeing that the project doesn't get too far out of touch with the possible, keeping people on track, keeping lines of communication open.

The Function of the Managing Director
1. Business today is extremely complex and diversified. A manufacturing corporation sometimes appears like a beast with many heads. If such a beast is to be controlled it must, certainly, have a central spoke, or an axis around which it turns. To run a company well requires both skills of seeing detail and skills of seeing the whole. A chief executive has to manage the day-to-day affairs of the concern as well as long-term planning and future oriented interests. To operate a company according to his/her own projections and forecast would be difficult enough, but the director must also envision how the whole board would wish the affairs of the establishment to be handled.
2. No single person can accomplish this on his/her own. Thus, the manager must learn to delegate both work and responsibility. If he/she neglects to do this, the enterprise will soon become a maelstrom of complexities.
3. The company will run efficiently, if everyone understands exactly which job he/she is to do, how it is to be done and to whom the results are to be reported. It is not easy to find people whom one can trust. Yet, if the work is to go on, the manager will simply have to find such people. If a manager cannot delegate authority, he is really shirking his job.

The Worth of Your Money
1. Suppose you live in a country with an inflationary economy. In such a place, the value of the paper stuff you carry in your bill - fold might change on a daily basis. That, probably, means that as soon as you get your monthly salary, you will dash out to spend it because what is worth ten units today may well call for twenty tomorrow. What happens in such an economy, when a company or an individual needs to make a long-term purchase - a house, let's say, - and payments have to be settled and made in installments over time? Obviously, the buyer would be very pleased to succeed in reducing the value of his/her payments. But what about the seller? Surely, he/she cannot be willing to put a property that will constantly lose in value on the market. There is no sense in selling something
that will only involve a loss for the seller. The seller will do almost anything to avoid selling his property.
2. What usually happens in such circumstances is that both buyer and seller agree to tie the value of the purchase to a stable currency - perhaps the American dollar. The idea of tying business to a foreign currency seems most sensible - a reasonable solution, except for one little problem. Suppose that «A» is buying a home from «B,» and that they have agreed on three payments for the property. The payments are to be made in local currency tied to the value of US dollars. There are to be three payments - each one made on a designated date. Everything looks fine and organized. But wait a minute. Suppose that one of the designated dates happens to be the day when the banks and the government have agreed on as the day when yet another inflation is to be instituted. The buyer places the agreed-on sum into the bank in the morning, and by the time the seller gets it, it has lost 50% of its value.

Planning in Business
1. In most western democracies there is no central economic planning agency, but in a country like Saudi Arabia, where the entire economy depends on the huge profits of the oil industry, central planning must be practiced. In most large corporations, long term planning is absolutely essential. Although such planning is often facetiously referred to as Econometrics and crystal-ball-gazing, it is nevertheless of great value. A business man must organize his planning with great care. A plan seen functioning properly serves as a motivating force in business.
2. When, business plans are made, a budget - that is an estimate of income and expenses - must be projected. To avoid cash-flow problems it is advisable to plan on a deposit on goods ordered. This can only be done if one can look back and learn from previous experience - if not one's own experience, - then the experience of others. The cash-flow - ready money that can be accessed when needed - is an essential aspect of an active business venture, and it must be planned into the budget. If it is lacking, a business can easily falter, even with a great many anticipated orders and a superior product. Very often, just to ensure a steady cash - flow finished goods must be sold at a highly reduced rate. Prices having fallen, they are then not so easily brought back to original value.
3. Forecasting techniques mean setting up a schedule of anticipated events such as ordering, production, advertising, attending conferences, and filling orders. Dates need to be set up for accounting periods. Such accounting periods are, as a rule, related to the fiscal year, but this term means something quite different in disparate parts of the world.
4. For example, December is mid winter in Europe and North America, and because it is the Christmas season, it is a very active time commercially. However, in the Southern Hemisphere and in places where a gift-giving season is not observed, things may look quite different.
