7.2. Data on rights attached to shares of OJSC TGC-9
Rights granted by shares to their holders are provided by article 6 of the Articles of Association of the Company:
Each nominal ordinary share of the Company provides the shareholder – its owner with an equal scope of rights.
Shareholders-owners of nominal ordinary shares of the Company are entitled to:
1) Participate personally or through representatives in the General meeting of shareholders of the Company with a right to vote on all items within its competence;
2) Make proposals to agenda of the general meeting as per the procedure provided by the legislation of the Russian Federation and these Articles of Association;
3) Receive information on activity of the Company and see documents of the Company in accordance with article 91 of the Federal law On Joint-Stock Companies, other regulatory legal acts and these Articles of Association;
4) Receive dividends declared by the Company;
5) Have a preferential right to purchase additional ordinary shares and issued securities converted to ordinary shares in quantity which is proportional to the quantity of ordinary shares belonging to them, placed by public offering;
6) Receive a part of its property in case of liquidation of the Company;

7.3. Circulation of shares of OJSC TGC-9 at stock exchanges
In 2006 shares of OJSC TGC-9 began its circulation at main trading floors of the Russian stock market.
On September 15, 2006 shares of the Company were admitted to circulation by trade organizers at the securities market at OJSC Russian Trading System Stock Exchange and Non-profit Partnership Russian Trading System Stock Exchange, and on September 22, 2006 at CJSC Moscow Interbank Currency Exchange to the list section Securities admitted to circulation but not included in quotation lists.
In accordance with the development plan of the Company shares of OJSC TGC-9 are included in the Quotation list B of OJSC Russian Trading System Stock Exchange on June 27, 2007; Quotation list B of CJSC MICEX SE on February 22, 2008.

7.4. General information on depository receipt program
In accordance with the order of the Federal Financial Markets Services of Russia No. 08-1253/пз-и dated June 03, 2008 placement and circulation of nominal ordinary uncertified shares of Open Joint-Stock Company Territorial Generating Company No.9 in the amount of 918,123,637,090 shares were allowed outside of the Russian Federation.
Outside of the Russian Federation nominal ordinary uncertified shares of OJSC TGC-9 are placed and circulating by placement in accordance with the foreign right of securities of the foreign issuer of foreign depository receipts issued by the Bank of New-York according to Regulation S, as well as Rule 144A certifying the right in relation to nominal ordinary uncertified shares of OJSC TGC-9.
Depository receipts certifying the right in relation to nominal ordinary uncertified shares of OJSC TGC-9 are circulating at foreign over-the-counter securities markets Euroclear and Cleastream. Circulation of securities may be performed by concluding contracts between institutional investors or through the intermediary of foreign financial organizations.
A total of 2,373,261 global depository receipts were issued.
Report on payment of declared (accrued) dividends on shares of the Company
When accruing and paying dividends OJSC TGC-9 is regulated by requirements of the Federal law On Joint-Stock Companies, the Articles of Association of the Company, and the Provision on dividend policy of OJSC TGC-9.
In accordance with the Articles of Association of the Company the decision on dividends payment, including the decision on the size of dividends and form of their payment on shares of each category, are made by the general meeting of shareholders of the Company.
On June 9, 2006 at the annual general meeting of shareholders (Minutes No.6 of 16.06.2006) the decision on dividends payment on shares of OJSC TGC-9 was made according to the results of 2005.
On December 26, 2006 at the extraordinary general meeting of shareholders (Minutes No.8 of 09.01.2007) the decision on dividends payment was made according to the results of 9 months of 2006.
According to the conditions of reorganization of the Company in the form of joining of OJSC Perm Generating Company and OJSC Sverdlovsk Generating Company, OJSC TGC-9 is a legal successor of the joining companies in all rights and liabilities. Observing the legislation of the RF, OJSC TGC-9 makes payments of dividends according to the results of 2005 of OJSC Perm Generating Company and OJSC Sverdlovsk Generating Company proceeding from accrued amounts – 400,002,002.92 rubles and 20,020,743.76 rubles respectively.
On June 28, 2007 at the annual general meeting of shareholders (Minutes No.11 of 04.07.2007) the decision on dividends payment on shares of OJSC TGC-9 was made according to the results of the 1st quarter of 2007.
On September 26, 2007 at the extraordinary general meeting of shareholders (Minutes No.12 of 08.10.2007) the decision on dividends payment was made according to the results of the 1st half of 2007.
On June 26, 2008 at the annual general meeting of shareholders of OJSC TGC-9 (Minutes No.16 of 07.07.2008) the decision on dividends payment for the 1st quarter of 2008 was made.

03.06.2010 the Federal Service on Financial Markets registered issue of 7,000,000 interest-bearing non-convertible documentary bearer bonds subject to compulsory centralized storage (state registration number of the issue: D), the par value of each bond is 1,000 rubles; the maturity date is on the 2,548th date from the date of beginning of floatation of a bond issue by public offering.

Rights granted by issue securities:
Each issue Bond grants its holder equal rights.
A Bond holder is entitled to the Bond par value when the Bond is redeemed on a maturity date in accordance with the procedure and on the terms set out in the Certificate.
A Bond holder is entitled to a coupon yield in the form of interest of the Bond par value at the end of each coupon period, in accordance with the procedure, on the terms and conditions set out in the Certificate.
A Bond holder has the right to demand that the Issue acquire all or a part of their Bonds in cases and on the terms set out in the Certificate.
If the Bonds are included in the Quotation list B of CJSC MICEX SE, bond holders will become entitled to a put option if such Bonds are delisted from all stock exchanges which included such bonds in their Quotation lists.
If the Issuer is liquidated, Bond holders will be entitled to receive due money in accordance with the order of priority set out as per Article 64 of the Civil Code of the Russian Federation.
All Issuer’s debt under the Bonds of this issue will rank pari passu and be equally mandatory.
The Issuer is obliged to refund invested money to Bond holders if the Bond issue is recognized invalid or null in accordance with effective law.
A Bond holder is entitled to freely sell or otherwise dispose of Bonds.
A Bond holder may exercise other rights stipulated by the effective Russian law.
The Issuer shall ensure rights of Bond holders provided that they exercise such rights in accordance with the procedure stipulated by effective Russian law.

On 14.02.2011 first bond coupon yield was paid totaling to 282,730,000.00 (two hundred eighty two million seven hundred thirty thousand) rubles 00 kopecks (40 (forty) rubles 39 (thirty nine) kopecks per a Bond).
Bond interest (coupon) is determined in accordance with the Bond Resolution and Prospectus approved by the Board of Directors of OJSC TGC-9, adopted on March 18, 2010 (Minutes No. 15(162) of 19.03.2010). The first coupon rate of 8.1% (eight point one per cent) per annum was approved by the General Director of CJSC IES – the management organization of OJSC TGC-9 (Order No.103 of 12.08.2010).
Bond yield is paid in money, in the Russian Federation currency in non-cash form.

9. PERSONNEL AND SOCIAL POLICY
Main principles and objectives of the personnel policy of the Company
Main direction in the personnel policy is full and timely satisfaction of the Company’s needs in human resources, increase of a level of proficiency and efficiency of personnel capacity use, personnel motivation to achieve the Company’s goals.
The personnel policy in OJSC TGC-9 is built in accordance with the current legislation, Collective Agreement of OJSC TGC-9 for , regulatory documents, standards, provisions and orders applied in the operation of CJSC IES and OJCS TGC-9.
The main principle of the personnel policy is convergence of the Company’s interests with the interests of each employee with the purpose of achieving maximum production and economic results.
Main strategic directions of the work with personnel are:
§ Forming of an optimal social - professional structure of the personnel and the system improvement of the work with the personnel, providing forming of a professional – production behavior of each worker, directed to achievement of strategic purposes of the Company.
§ Ensuring of a sufficient level of the personnel satisfaction with the work in the Company through development and implementation of the following directions of the work with the personnel:
- System of professional and advanced training of the personnel aimed at personnel’s skills level maintenance for ensuring of the Company’s competitiveness.
- Salary policy aimed at the personnel motivation for high-performance, productive work.
- Social policy aimed at making favorable conditions of each employee’s vital activity.
§ Development of corporative culture and forming of the favorable moral and psychological atmosphere.

In comparison with 2009 the scheduled number of employees increased by 50 people. It is conditioned by structural changes in the Company connected with the transfer to the two-level management system, creation of regional branches (and liquidation of a branch of the management company, which performs management functions in relation to OJSC TGC-9).
Remuneration of labor
For implementation of the coordinated policy on issues of labor remuneration the Company is regulated by the Collective Agreement of OJSC TGC-9 for , regulatory documents, standards, guidelines and orders applicable for activities of CJSC IES and OJSC TGC-9.
The existing system of remuneration of labor in the Company regulates the size of remuneration of employees depending on the level of proficiency, work complexity, conditions, quantity and quality of the required work within the limits of funds allocated to remuneration of labor approved in the business plan of the Company.

Provision of benefits, guarantees and compensations aimed at increasing the financial level and social support of employees of OJSC TGC-9 branches were carried out in accordance with the Collective Agreement of OJSC TGC-9 for , effective Provisions on additional pension coverage of employees, on payment of a personal pension for special services in the power industry to out-of-work pensioners and the Program of non-state pension coverage of employees.

The social policy is one of important aspects of OJSC TGC-9 activity which considerably influences the efficiency of the employees’ work. In 2011 all employees had an opportunity to receive benefits, guarantees, compensations, provided by the Collective Agreement of OJSC TGC-9. The work on realization of different social programs, directed to assistance of the Company’s employees in solving problems which are important for them, was continued: employees’ health protection program, corporate program of co-financing of funded part of a retirement pension.
The employees’ health protection program is directed at introduction of single standards of medical treatment in different structural units of the Company, ensuring possibility of the efficiency and practicability control of financial expenses in this direction. Within the limits of this program in purpose of timely revelation of professional, production and systemic diseases preliminary (before acceptance for employment) and periodic medical examinations are carried out. According to the results of medical examinations a set of measures is implemented, directed at supporting and strengthening the employees’ health, such as additional examinations of employees, preventive vaccination, health resort treatment. In 2011 within the limits of the voluntary medical insurance program money was allocated for the health resort treatment of employees needed such treatment according to results of periodic examinations. Besides, employees have an opportunity to compensate expenses partially for purchase of the health resort and preventive clinic voucher, located in the territory of Russian and CIS countries. In the territory of 20 production areas of OJSC TGC-9 there are medical stations where a primary medical care is provided to employees.
The Company provides the employees with an opportunity for medical care through organization of obligatory and voluntary medical insurance systems. At the expense of the employer’s means a voluntary medical insurance of employees is carried out (VMI) in order and under conditions of the contract, concluded by the Company with an insurance company. Expenses for voluntary medical insurance in 2011 amounted to 44,235,900 rubles. In 2011 within the limits of the VMI program the employees had an opportunity of the clinical outpatient, stationary medical aid, health resort treatment.
In 2011 the corporate program of co-financing of funded part of a retirement pension was continued. Within the limits of this program at the expense of the Company employees have an opportunity to receive additionally 50% of the amount of paid additional insurance contributions for the funded part of a retirement pension. Employees who retired and reached pension bases were granted a non-state pension in the amount of 500 rubles per month during five years.
The employees were given an opportunity to receive additional benefits, guarantees, compensations: partial compensation of expenses for holiday voucher purchase for employees and their children, support to mothers having children under 1 y. o., compensation of children keeping in preschool institutions, payment of financial assistance (for marriage, child’s birth, burial, in case of a difficult life situation). In 2011, the support to mothers having children under 1 y. o. and expenses for children keeping in preschool institutions totaled 8,433,100 rubles (in 2010 – 7,317,900 rubles), payment of financial assistance – 6,139,600 rubles (in 2010 – 5,237,300 rubles), expenses for New-Year’s gifts – 1,450,700 rubles.
Realization of specified directions of the social policy of the Company favors the creation of personnel motivation to fulfill functional liabilities, maintenance of the employees’ health, increase of reliability and safety of professional activity.
Training and professional development of the personnel, preparation of the reserve, information on cooperation with educational institutions
The work on preparation, professional development and retraining of the personnel is organized within the limits of the approved Personnel Training Plan of the Company for 2011 which was formed proceeding from:
- Requirements of regulatory legal acts to the scope and periodicity of personnel training.
- Categories of employees for whom the training is planned.
- Types and forms of training.
The personnel training was performed under condition of strict observance of requirements of the Rules of work with personnel in organizations of the power industry, approved by order of the Ministry of Fuel and Energy No. 49 of 19.02.2000 and the Procedure for training and evaluation of employees of organizations regulated by the Federal Service for Ecological, Technological and Atomic Supervision No. 37 of 29.01.2007, and was carried out in educational institutions having the corresponding license.
Training, retraining, certification and professional development of workers is carried out in the Center of Preparation and Training (Dobryanka city), in the educational-training center Urals MRSK (Yekaterinburg city), in the educational institution Energetik (Kirov city), LLC Northern Scientific and Methodological Center (Vorkuta city), GOU VPO Ukhta Sate Technical University, and in other industry-specific educational institutions. For the purpose of provision of labor conditions that correspond to state and industry-specific requirements, training and instruction of the personnel on labor protection and safety measures, emergency and fire-prevention training, preparation of newly employed personnel at working places is carried out.
Total expenses for the personnel preparation made 23,705,700 rubles.
Information on cooperation of the Company with educational centers
The Company effectively cooperates with UGTU-UPI, Center of Preparation and Training (Dobryanka city), educational–training center MRSK (Yekaterinburg city), Federal State autonomous educational institution of additional professional education “Courses for professional development of head employees and specialists of the fuel and energy sector” (Yekaterinburg city), educational institution Energetik (Kirov city), scientific-educational institution Center for Preparation of Power Engineering Personnel, LLC Northern Scientific and Methodological Center, GOU VPO Ukhta Sate Technical University, Corporate Power Engineering University; Saint-Petersburg Power Engineering Institute of Professional Development of Heads and Specialists; Institute for Professional Development of Heads and Specialists of the Fuel-Energy complex of Russia, Advanced Training Institute of Ivanovo State Energy University etc.
10. ENVIRONMENT PROTECTION
Main objectives of the Company in field of the environment protection policy are:
· Minimization of negative impact of the Heat Power Plant (TEC) on environment;
· Observance of environmental regulation;
· Performance of environmental work required by orders of controlling authorities:
the Federal Nature Management Supervision Service;
the Territorial Directorate of the Russian Supervisory Service in the Sphere of Consumer Rights and People’s Welfare;
the environmental prosecutor’s offices.
For solving of set goals persons responsible for guidance of environmental activity are appointed in each branch of the Company. Technical services of branches include environment protection departments organizing environmental work, planning environmental actions and actions to mitigate environmental impact, performing control over impact of production branches on environment and keeping records.
At production areas of the Company all required environmental permits are available: allowances for pollutants discharge into the air, decision on the granting of water bodies for use, water use agreements, permits for pollution discharge to water bodies and authorizations for production and consumption wastes disposal. The Company also holds a valid license for collection, use, neutralization, transportation and disposal of wastes of 1-4 hazard class.
The Company has developed and approved standards for impact on the environment, adopted the Conception of implementation of the environmental policy as regards OJSC TGC-9 based on the Constitution of the Russian Federation, Federal laws, conception of long-term social and economic development of the Russian Federation for the period until 2020, and other regulatory legal acts.
Within the framework of the environmental policy, mechanisms of its realization are defined: the conception of the environmental policy is developed defining target values for the medium-term perspective until 2012 and long-term until 2020. As a result of achievement of target values the Company is planned to decrease specific rates of water use, volumes of polluted waste waters discharge and pollutants discharge into the air.
For solving of set objectives OJSC TGC-9 uses:
· Monitoring of the environmental in the area of production objects’ location;
· Planning of environmental measures and control over their execution;
· Preparation and implementation of investment projects directed to decrease of production objects impact on the environment;
· Internal audit conduct;
· Environmental training of specialists;
· Repairs carrying out of environmental equipment for observance of environmental regulation by the Company;
· Other measures aiming to minimization of production object impact on the environment.
In 2010 the Company continued to implement measures directed at the improvement of the environmental safety, growth of the energy company capitalization by way of ensuring reliable and environmentally safe production of electric energy, complex approach to use of energy resources.
In 2011 as compared with 2010 total pollutants discharge into the air dropped by 8 %, water intake and production decreased by 10 %, water disposal stayed at the same level, waste generation decreased significantly.
Current expenses for the environment protection in 2011 in OJSC TGC-9 made 228,182,180 rubles:
for protection of water bodies – 211,741,650 rubles,
for protection of the air – 7,815,540 rubles,
for protection of land– 8,624,990 rubles.
In 2011 fixed capital expenditure for environment protection totaled 16,137,000 rubles.
Payments for negative environmental effect totaled 40,294,600 rubles in 2011.
Within the framework of implementation of measures on water protection and reduction in pollutants discharge in 2011 the following works were carried out:
· Monitoring of ground-water quality during operation of ash dumps;
· Restoration works of a left-bank abutment of Vorkutinskaya CHPP-1;
· Repair of cooling towers;
· Chemical and microbiological study of waste water;
· Blowdown water from continuous blowdown separator in the hydraulic ash disposal closed-circuit systems are used to reduce dirty discharge;
· Works with recovery of heat insulation of heat grid pipelines to reduce heat loss;
· Hydraulic setup of heat grids and heat nodes, reduced time for leakage elimination to reduce delivery water loss;
· Reconstruction of flood gate No.2 (backfilling of well No.2) at operating ash disposal area No.2 of Bogoslovskaya CHPP;
· Reconstruction and replacement of slag and ash pipelines of Krasnogorskaya CHPP;
· Buildup and strengthening of the ash disposal area levee to maintain seepage water at the design level and repair of slag and ash pipelines: replacement of sections, leveling, repair of supports, repair of compensators at Nizhneturinsk SDPP.
In 2012 works will be continued at ash disposal areas of Bogoslovskaya CHPP, Nizhneturinsk CHPP and Krasnogorskaya CHPP.
Within the framework of implementation of measures on the atmospheric air protection in 2011 the following works were carried out:
· Works for repair and setting up of ash-catchers to maintain ash-catchers efficiency were performed at Vorkutinskaya CHPP-1;
· Works for repair and setting up of ash-catchers to maintain ash-catchers efficiency (93.1%) at the 2009 level were performed at Vorkutinskaya CHPP-2;
· Inspection, cleaning (washing) of the dust extraction plant of the boiler unit of st. No.3,5-7, repair of elements of multicyclone collectors of the ash-catcher of the boiler st. No.2, repair of multicyclone collector sections of the dust extraction plant of the boiler unit of st. No.7; repair of brickwork, elimination of air inflow at the boiler unit of st. No.3-7; repair of mills, SPU of the boiler unit of st. No.3-7, repair of exhausters of the boiler unit of st. No.3-7, elimination of leakage in gas-air ducts of the boiler unit of st. No.7 were performed at Intinskaya CHPP;
· Repair of burners, elimination of air inflow to furnace, correction of a mode chart, adjustments of modes with minimum emissions NOx of boiler units of st. No. No. 5 and 6; regular control and adjustment of boiler unit modes using Testo-33 were performed at Sosnogorskaya CHPP;
· Performance adjustment of equipment and heat grids was done at Ukhta Heat Grids;
· Performance adjustment of boilers, observance of mode charts for main equipment operation was done at Syktyvkar Heat Grids;
· Multicyclone collector elements were replaced at Krasnogorskaya CHPP.
At all CHPPs of OJSC TGC-9 a permanent control over content of polluting agents in combustion gas is exercised, monitoring of open air and physical effects in sanitary protection zones is effected, and control over pollutant content in waste waters is exerted. In accordance with effective rules collection, accounting, storage and delivery of production and consumption wastes were carried out.
